Terms of Use

1. Agreement

These Terms of Use (“Terms”) are an agreement between you and Bald Cactus, LLC (“Bald Cactus,” “we,” “us,” or “our”). They govern your download and use of the Rocky macOS application, rocky.so, api.rocky.so, and related hosted services (together, “Rocky”).

By downloading, installing, accessing, or using Rocky, you agree to these Terms and the Privacy Policy. If you do not agree, do not use Rocky.

2. Eligibility

You must be at least 13 years old and legally able to enter this agreement. If you use Rocky for an organization, you represent that you are authorized to accept these Terms for that organization.

3. What Rocky provides

Rocky provides voice transcription, AI-generated responses, screen understanding, speech, local tools, and optional user-directed automation. Features, providers, models, quotas, and availability may change. Some features require macOS permissions, a network connection, third-party software, or your own provider credentials.

The hosted service requires a Rocky account. You may not evade quotas, rate limits, safety controls, or access restrictions.

AI-generated content may be inaccurate, incomplete, offensive, outdated, or unsuitable. Rocky may misunderstand speech, visual context, task instructions, or interface state. Do not rely on Rocky as the sole basis for medical, legal, financial, safety-critical, or other high-impact decisions.

When you enable automation or approve a task, Rocky may open applications and websites, move the pointer, click, type, modify local files, or interact with third-party services within the requested scope. You authorize those actions and remain responsible for supervising them. Use Rocky's pause, cancel, review, and confirmation controls when appropriate.

You retain your rights in content you provide. You grant Bald Cactus a limited, worldwide license to host, process, transmit, reproduce, and format that content only as reasonably necessary to operate, secure, and support Rocky and comply with law. You represent that you have the rights and permissions needed for content you submit or direct Rocky to process.

8. Third-party services and your own model account

Rocky can interact with services operated by OpenAI, Cloudflare, Supabase, Stripe, PostHog, Apple, Google, and others. Those services are governed by their own terms and privacy practices. Bald Cactus does not control and is not responsible for third-party services.

If you sign in to your own model account, you authorize Rocky to use it for your requests. You are responsible for that account, its security, charges, quotas, and terms. Requests made with it go directly from your Mac to that provider without passing through the Rocky hosted service.

9. Hosted access, quotas, and changes

Hosted access is metered. A new account starts with a time-limited trial allowance, which can be used up before the trial period ends. Continued hosted use requires buying credits when that allowance is spent or the trial expires. Credits are prepaid and drawn down by usage. Trial and hosted access may be limited, rate-capped, suspended, or discontinued. We may change models, providers, routes, features, or limits to maintain security, reliability, cost controls, or product quality. Rocky is not an archival or backup service, and we do not promise uninterrupted availability or a service-level commitment.

10. Payment, credits, licenses, and refunds

Hosted use beyond the trial allowance requires credits, which you buy in advance through our payment processor, Stripe. Prices are shown before you pay. We do not receive or store your card details.

Your ChatGPT mode uses your own paid ChatGPT or Codex plan. After the trial, this mode requires a separate Rocky License as a one-time purchase. The early adopter price during the beta is $19; the price will rise to $29 later. The license unlocks this mode; it does not include a ChatGPT or Codex plan or fund Rocky Cloud usage. Rocky Cloud requires credits and does not require a Rocky License.

Credits are drawn down as you use the hosted service. They are not a deposit, are not redeemable for cash, and are not transferable between accounts. There is no subscription and nothing to cancel: you are charged only when you choose to buy credits or a Rocky License.

Credit purchases are final and non-refundable, except where a refund is required by law. Credits are delivered immediately and are usable as soon as your purchase completes. You therefore agree that supply begins straight away and acknowledge that, where you would otherwise have a statutory right to cancel a purchase of digital content within a set period, that right is lost once supply begins. Nothing in these Terms limits a right you have under consumer law that cannot be waived.

If a charge looks wrong, email question@rocky.so before disputing it with your bank. We will investigate and correct genuine billing errors, including duplicate charges and credits that a fault on our side prevented you from using.

11. Ownership and third-party software

Rocky software, branding, websites, hosted services, and original materials are proprietary and owned by Bald Cactus, subject to third-party rights. Except as permitted by applicable law or a written agreement with Bald Cactus, you may not copy, modify, distribute, sublicense, sell, or create derivative works from Rocky. Third-party components identified on the Licenses page are governed by their respective licenses. Nothing in these Terms limits rights granted under those licenses.

12. Feedback

If you provide feedback, you grant Bald Cactus a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.

13. Suspension and termination

You may stop using Rocky at any time. We may suspend or terminate hosted access if reasonably necessary for security, legal compliance, abuse prevention, nonpayment, or a material violation of these Terms. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations, and indemnification.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKY IS PROVIDED “AS IS” AND “AS AVAILABLE.” BALD CACTUS AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT ROCKY WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR SUITABLE FOR YOUR PURPOSE.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALD CACTUS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO ROCKY, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO ROCKY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID BALD CACTUS FOR ROCKY DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.

These limitations do not apply where prohibited by law.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Bald Cactus and its affiliates, officers, employees, and contractors from third-party claims, damages, and reasonable costs arising from your unlawful use of Rocky, your content, or your violation of these Terms or another person's rights.

17. General terms

These Terms and the documents they reference are the entire agreement about Rocky. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or sale.

18. Changes and contact

We may update these Terms. The effective date above identifies the latest version. Continued use after updated Terms take effect means you accept them, except where applicable law requires another form of notice or consent.
